Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services provided by Webentity ("we", "us", or "our"), including our website at webentity.ai and all related tools, platforms, and services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Services

Webentity is an AI-native website platform that provides website building, hosting, content generation, and SEO optimization for businesses. The platform includes guided onboarding, a chat-based content management system, automated content creation, technical SEO management, and performance monitoring.

2. Eligibility

You must be at least 18 years old and have the authority to enter into these Terms on behalf of yourself or the organization you represent. By using the Service, you represent that you meet these requirements.

3. Accounts and Access

To use certain features of the Service, you may need to provide your business email address or other contact information. You are responsible for maintaining the confidentiality of any credentials associated with your account and for all activities that occur under your account.

4. Service Plans and Payment

Webentity offers subscription-based service plans. Pricing, features, and payment terms are described on our pricing page and in your service agreement. All fees are non-refundable unless otherwise stated in your agreement. We reserve the right to modify pricing with 30 days written notice.

5. Intellectual Property

Your content: You retain ownership of all content, data, and materials you provide to us. By providing content, you grant us a license to use it solely for the purpose of delivering the Service.

Website code: The website code we create for your project is yours. You receive full access to the Git repository and may continue using, modifying, or hosting the code independently, even after your subscription ends. Webentity retains rights to our internal platform, tools, templates, and processes used to deliver the Service, but not to the custom code built for your site.

AI-generated content: Content generated by our AI agents on your behalf is owned by you once delivered. We may use anonymized, aggregated data to improve our services.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Submit content that is defamatory, obscene, or infringes on third-party rights
  • Attempt to reverse-engineer, decompile, or disassemble any part of the Service
  • Interfere with or disrupt the integrity or performance of the Service
  • Resell or redistribute the Service without our written consent

7. Availability and Support

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance when possible. Support response times depend on your service plan.

8. Data and Privacy

Our collection and use of personal data is governed by our Privacy Policy. By using the Service, you consent to the practices described therein.

9. Third-Party Services

The Service may integrate with third-party tools and APIs (e.g., Google Search Console, analytics platforms, AI providers). Your use of these integrations is subject to the respective third-party terms. We are not responsible for the availability or practices of third-party services.

10. Limitation of Liability

To the maximum extent permitted by law, Webentity shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Service.

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Webentity and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service or violation of these Terms.

12. Termination

Either party may terminate the service relationship with 30 days written notice. We may suspend or terminate your access immediately if you violate these Terms. Upon termination, we will provide a reasonable period to export your content and data.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Continued use after changes take effect constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Germany. Any disputes arising from these Terms shall be resolved in the courts of Munich, Germany.
